License Agreement

By purchasing, downloading, accessing, or otherwise utilizing any products, materials, or services provided by Shadcnblocks.com, including but not limited to components, blocks, templates and source code (“Components”), you (“Licensee”) acknowledge and agree to be legally bound by the terms and conditions set forth in this License Agreement.

Definitions

• Components: The full catalog of digital assets provided by Shadcnblocks.com, including blocks, components, templates, design files, developer tooling, and all other source code or design deliverables included in your plan.
• End Product: A website, application, or piece of software that incorporates or is built with Components. For example, a SaaS platform, internal tool, marketing site, or client project.
• End User: Any person who uses or interacts with an End Product. There is no limit on the number of End Users.
• Client: An individual, customer or company receiving a customized End Product from the Licensee.
• Licensee: The person or organization that holds the purchased license.
• Employee: A full-time or part-time employee of the Licensee.
• Contractor: Any third-party individual or agency engaged by the Licensee to build End Products on behalf of the Licensee.

License

This License provides a non-exclusive, non-transferable, worldwide license to use, modify, and distribute the Components as described in this agreement. The terms below apply equally to the Standard and Team licenses. The license types differ only in how access is managed and the number of permitted users, not in what you are permitted to build.

Permitted Uses

The Licensee may:

• Use the Components to build unlimited End Products for themselves, their company, or their Clients.
• Modify the Components and incorporate them into End Products for personal or commercial use.
• Sell End Products that include the Components, provided the Components are not the primary value of the product.

Restrictions

The Licensee may not:

• Resell or redistribute the Components or their derivatives separate from an End Product.
• Use the Components to create a product that directly competes with Shadcnblocks.com or the original Components.
• Share or distribute the Components outside the scope of your license type.

Examples

Examples of permitted uses:

• Develop a personal website for the Licensee.
• Create custom websites or applications for Clients, where the End Product is owned by the Client.
• Build a paid SaaS application (e.g., project management tool, CRM, booking platform) where End Users subscribe or pay to use the application.
• Develop a self-hosted web application sold to End Users as a one-time purchase.

Examples of restrictions:

• Publishing the Components or their derivatives in a public repository.
• Building a UI library using Components and distributing it, for sale or for free.
• Creating Figma, Sketch, or other design kits based on Components and distributing them, for sale or for free.
• Producing themes, templates, or starter kits using Components and distributing them, for sale or for free.
• Creating a “website builder” that allows End Users to create their own websites using Components.
• Creating an AI generator trained on Components, or incorporating Components into a tool that allows End Users to generate websites or applications.
• Publishing Components or their derivatives on marketplaces like Themeforest or 21st.dev.

The above examples are illustrative and not exhaustive.

License Types

Shadcnblocks.com offers two license types: Standard and Team. Both types inherit the full set of permitted uses, restrictions, and obligations described above. The difference between them is how access is managed and the number of users permitted.

Standard License

Intended for individuals, freelancers, and solo developers.

• The Standard license grants permission to one individual (the Licensee) to access and use the Components.

Team License

Intended for teams and agencies.

• The Team license grants permission for up to 10 Employees and Contractors of the Licensee to access and use the Components.

Enforcement

If you breach this license, Shadcnblocks.com may suspend or terminate your license and access to its services. Any refund or credit following a breach is at Shadcnblocks.com’s sole discretion and is unlikely where the conduct is deliberate or abusive.

All Components remain the copyrighted property of Shadcnblocks.com. This agreement grants only the permissions described above—all other rights are reserved. Shadcnblocks.com reserves the right to pursue legal remedies for any unauthorized use of the Components outside the scope of this license.

Marketplace & Platform Operator Liability

The distribution of Shadcnblocks.com Components or derivatives through marketplaces, AI site builders, code generation tools, or any automated component generation platform is strictly prohibited under this License Agreement.

If you operate such a platform, you are responsible for ensuring that copyrighted materials, including our Components, are not used, uploaded, or distributed through your system. This obligation applies regardless of whether content is submitted by users, generated by AI, or sourced from third parties. Where copyrighted materials are found, or Components in breach of our license, we expect and appreciate your full and prompt co-operation to remove them.

Where a platform operator knowingly encourages, incentivizes, or enables the sale or distribution of our Components or derivatives, this constitutes a direct breach and the platform will be held liable. To illustrate: if your marketplace pays contributors a revenue share for uploading components, and you become aware that contributors are uploading our Components or close derivatives but choose not to act because the content is profitable—expecting to shift the blame to the contributor—that is a breach by the platform, not just the contributor. User-generated content is not a defence.

A platform breach may occur each time:

• Our copyrighted material is added to your platform,
• Your users preview, download, clone, generate, or otherwise obtain content derived from our Components, or
• A generation event in your system reproduces or draws on our materials.

Warranty Disclaimer

The Components are provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Shadcnblocks.com does not warrant that the Components will be error-free, uninterrupted, or free of harmful elements.

Limitation of Liability

In no event shall Shadcnblocks.com be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of or inability to use the Components, even if Shadcnblocks.com has been advised of the possibility of such damages.

General

Severability

If any provision of this agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Australia.

Entire Agreement

This License Agreement constitutes the entire agreement between the Licensee and Shadcnblocks.com with respect to the Components and supersedes all prior or contemporaneous communications, whether written or oral.
